Two Different Things Are Called "Security Token"

The term has two unrelated meanings — one in cybersecurity, one in finance. They share a name and nothing else: different industries, different regulators, different purpose.

The IT meaning: an authentication device (and where to go for that)

In information security, a security token is a device that proves your identity when you log in: a hardware key fob, an RSA SecurID, a USB key, a one-time code from an app. It has no monetary value, no issuer obligations and no financial regulator behind it. What Is a Security Token? The Financial Definition

A security token is a cryptographic token issued on a blockchain that represents a legally enforceable claim over an off-chain asset or cash flow. The token is the record of ownership; the value sits in the underlying asset.

The distinction that matters: a cryptocurrency's value comes from its network; a security token's value comes from something outside the blockchain. A tokenized apartment is worth what the apartment is worth, minus costs, plus the rent it collects. The blockchain is the registry and the settlement layer, not the source of value. What a security token adds is the legal protection of a security plus the properties of a digital instrument: divisibility, fast settlement, transferability.

What rights does a security token give you?

Rights are defined in the offering documents, not in the smart contract. Depending on the structure, a security token can grant income rights (a share of rent, interest or coupons), capital rights (a share of sale proceeds or repayment of principal), equity rights (a fractional stake, sometimes with voting), or credit rights (in debt structures such as participative loans).

What it almost never grants is direct legal title over the physical asset. Owning tokens of a building does not put your name on the deed; it gives you an economic claim through a vehicle — an SPV, an LLC or a loan contract. That is the most common misunderstanding among first-time investors.

How Does a Security Token Work?

A security token works in five stages, and only two of them are technical.

  1. Structuring. The issuer creates a legal vehicle holding the asset — an SPV, an LLC or a loan contract — and defines what each token entitles the holder to.
  2. Issuance. The vehicle's economic rights are divided into a fixed number of tokens on a blockchain, capped at the size of the offering.
  3. Distribution. Investors pass KYC/AML checks, are whitelisted, subscribe and receive tokens in a compatible wallet.
  4. Servicing. Income from the asset — rent, interest, coupons — is distributed to holders on a defined schedule, often in a stablecoin.
  5. Exit. The holder sells on an authorised secondary market, or waits for the asset to be sold and the vehicle wound up.

The smart contract and the compliance layer

What separates a security token from any other token is that compliance is enforced by the contract itself. Standards built for securities — ERC-1400, ERC-3643 and similar permissioned frameworks — add a transfer-restriction layer: the token refuses to move to a wallet that is not whitelisted. Rules that traditionally require a transfer agent and days of reconciliation are written into the asset: who may hold it, in which jurisdictions, subject to which lock-up. It is also why you cannot list a genuine security token on an open exchange the way you would a utility token launched through an IDO — the contract blocks the transfer.

Custody, wallets and where your token actually lives

Your tokens live on the blockchain; your wallet holds the keys. Three models exist: a platform-managed wallet, self-custody with a whitelisted address, or a regulated third-party custodian. Whichever applies, ask one question before investing: if the platform disappeared tomorrow, what proves my claim? The answer should be a legal document — a subscription agreement, a loan contract, an SPV register — with the on-chain record as evidence, not the reverse.

The classic comparison is security versus utility, but four categories are worth separating, because the legal consequences differ in each.

A utility token is airline miles — you buy it to redeem it. A security token is a share in the airline. But labels do not decide the category: many projects launched "utility tokens" that regulators later reclassified as securities because the marketing promised returns. What the token does is what counts.

The Howey Test: how a regulator decides

In the United States the reference is the Supreme Court decision in SEC v. W.J. Howey Co., 328 U.S. 293 (1946) — a case about Florida orange groves. It established that an "investment contract", and therefore a security, exists when all four of the following are present (Investor.gov definition):

  1. An investment of money — the buyer contributes capital or another asset of value.
  2. In a common enterprise — investors' fortunes are tied together, and to the promoter's.
  3. With a reasonable expectation of profit — the motive is financial return, not consumption.
  4. Derived from the efforts of others — the return depends on a third party's managerial work, not the buyer's.

Applied to a tokenized building: you invest money (1) into a pooled vehicle that owns the property (2), expecting rent and a share of the sale price (3), generated by a manager who finds tenants and executes the sale (4). Four out of four: it is a security. Apply the same test to a token that only pays a network fee and grants no claim on anyone's work, and criterion 3 or 4 typically fails.

Is XRP a security token? (and other real classification cases)

XRP is the most-cited example precisely because the answer turned out to be conditional. In SEC v. Ripple Labs (S.D.N.Y., July 2023) the court held that the token itself is not inherently a security, and that classification depended on the manner of sale: institutional sales were investment contracts under Howey, while programmatic sales to anonymous buyers on exchanges were not. Howey applies to the transaction, not to the code.

Other cases point the same way: the SEC obtained an injunction against Telegram's TON offering (2020) and prevailed against Kik (2020) and LBRY (2022), because in each the tokens funded a venture on which buyers depended for returns. Bitcoin has consistently been treated as a non-security, since no identifiable promoter's efforts drive its value. One principle is stable across jurisdictions: an asset that pays you income generated by someone else's management will be treated as a security almost everywhere.

Types of Security Tokens

Equity tokens

Equity tokens represent shares in a company: a fractional stake, a claim on profits, sometimes voting rights — the closest digital analogue to a traditional share, and the category that overlaps with tokenized stocks and tokenized equities. Most are private placements, not public listings.

Debt tokens

Debt tokens represent a loan: the holder is a creditor expecting interest plus repayment of principal. This is the largest institutional category — tokenized bonds, tokenized money market funds, tokenized treasuries. Participative loans, the structure Reental uses for its Spanish projects, also belong here: investors hold credit rights against the vehicle.

Asset-backed tokens: real estate, gold and commodities

Asset-backed tokens represent a claim on a physical asset. Tokenized gold is the most liquid example; real estate is the largest by opportunity, because property is expensive, indivisible and slow to sell — exactly the frictions a token reduces. Real Estate Security Tokens: The Clearest Use Case

Real estate is where the concept stops being theoretical, for three reasons that have nothing to do with blockchain enthusiasm: buying a rental property directly requires tens of thousands in equity plus taxes and fees; you cannot sell a bathroom to raise cash, but you can sell 30 % of your tokens; and selling a property takes months, while a token transfer takes minutes — assuming there is a buyer, an assumption section 7.2 examines.

How real estate tokenization works, step by step

  1. Acquisition and structuring. The platform selects a property and places it in a legal vehicle. In the US that is typically a limited liability company (LLC) whose shares are tokenized. In Spain, Reental structures projects as a participative loan, issuing tokens that represent credit rights over the project.
  2. Valuation and issuance. The investment amount is divided into tokens. Reental issues tokens at 1 token = 100 euros/dollars, also the stated minimum ticket per property according to the platform's own FAQ.
  3. Subscription. Investors register, pass KYC and AML checks, and subscribe. US residents must additionally qualify as accredited investors.

The arithmetic is public and checkable: rent minus costs, divided by the tokenized amount. Note that the projected 4.88 % rental yield is modest — the return case rested on the capital gain, and the sale was conditional. That is what an honest tokenized property looks like: a real building with real running costs, not a yield promise. Figures at issuance are projections, not results.

As of August 2026, the English site reports 123 tokenized projects, more than $110M tokenized and an average annual return of 16.47 % on closed projects, across more than 43,000 users in 108 countries. These are self-reported platform figures, not audited results.

A Security Token Offering (STO) is a regulated fundraising process in which an issuer sells blockchain-based tokens that qualify as securities. The offering must be registered or rely on a valid exemption, and investors must be verified. In practice an STO looks like a private placement, not a crypto launch: legal structuring first, offering documents, KYC/AML onboarding, transfer restrictions coded into the token.

Where security tokens trade: the secondary market

Most articles wave the word "liquidity" here and move on. It deserves better, because it is the objection every serious investor raises.

A security token cannot trade freely on an open exchange: the transfer-restriction layer blocks any wallet that is not whitelisted. So the secondary market is one of three things — a licensed alternative trading system, a regulated exchange with a security-token segment, or a peer-to-peer marketplace run by the issuing platform among its own verified users. Reental's model is the third: direct sale to a third party, provided the buyer is verified on the platform.

The limit, stated plainly: transferable is not the same as liquid. The token can move in minutes, but only if a verified buyer wants it at your price. There is no market maker guaranteeing an exit, and in a stressed market you may only sell at a discount — or not at all. Tokenization removes the friction of selling a fraction of a property. It does not create demand.

The US framework: SEC, Reg D, Reg A+

There is no special statute for security tokens in the United States: a tokenized security is a security, and must be registered with the SEC or issued under an exemption. Three exemptions carry almost all activity:

  • Regulation D, Rules 506(b) and 506(c) — private placements, effectively limited to accredited investors. This is the default route for tokenized real estate in the US, and the reason US residents typically need accredited status.
  • Regulation A+ — a "mini-IPO" allowing offerings up to $75M with retail participation, at the cost of SEC qualification and ongoing reporting.
  • Regulation S — offerings made outside the United States to non-US persons.

The SEC's position has been consistent: wrapping a security in a token changes nothing about its legal status.

The European framework: MiCA, the DLT Pilot Regime and the CNMV

This is where most English-language explanations get it wrong, so precision matters.

MiCA does not regulate security tokens. The Markets in Crypto-Assets Regulation, Regulation (EU) 2023/1114, fully applicable since the end of 2024, expressly excludes from its scope crypto-assets that qualify as financial instruments under MiFID II. MiCA governs utility tokens, e-money tokens and asset-referenced tokens. A token representing equity, debt or an economic right over a real asset falls outside it and lands inside the existing securities framework: MiFID II, the Prospectus Regulation and national supervisors.

That framework is complemented by the DLT Pilot Regime, Regulation (EU) 2022/858, applicable since March 2023, which lets trading facilities and settlement systems operate financial instruments on distributed ledger technology with targeted exemptions from rules written for paper-and-database markets. For retail offerings, the European Crowdfunding Service Providers Regulation, Regulation (EU) 2020/1503 provides a passportable regime allowing retail participation within defined limits.

In Spain, security tokens are supervised by the CNMV under securities law, not under the crypto-asset regime. Ley 6/2023 explicitly contemplates the representation of securities through distributed ledger technology, giving tokenized instruments a recognised legal footing. Any platform offering security tokens to Spanish investors must apply KYC and AML procedures and, depending on the size and nature of the offering, comply with prospectus or crowdfunding requirements. The net effect for a European investor: you are not in a legal vacuum, and you are not covered by MiCA either. You are covered by the rules that have governed securities for decades.

Transparency and auditability

Holdings, transfers and distributions are recorded on a public ledger. An investor can verify that a distribution was made, to how many wallets and when, without asking the issuer.

Programmable compliance

Eligibility, lock-ups, holding limits and jurisdictional restrictions are enforced by the token itself. Fewer intermediaries means lower issuance and servicing costs — which is what makes a $700,000 property economically viable to tokenize at all.

Risks and Limitations You Should Know

Every advantage above has a counterpart.

  • Liquidity risk. Secondary markets are thin. Transferable is not liquid. Assume you may need to hold to the end of the project term.
  • Underlying asset risk. Vacancy, capex, a market correction: the token falls with the asset. Tokenization changes the wrapper, never the fundamentals.
  • Issuer and counterparty risk. You depend on the platform to manage the asset and distribute income. If the issuer fails, your recourse is the legal vehicle behind the token — which is why the structure matters more than the technology.
  • Regulatory risk. Classification differs by jurisdiction and keeps evolving. A rule change can restrict who may hold a token, where it trades, or how it is taxed.
  • Technical and custody risk. Smart contract bugs, key loss and platform security failures are real. Self-custody moves that risk to you; custody moves it to the provider.
  • Valuation risk. Tokenized private assets have no continuous market price. The value between distributions is an estimate, not a quote.

How to Invest in Tokenized Real Estate

Judge platforms on structure rather than on projected yield:

  1. Legal structure. What exactly do you own — SPV shares, a participative loan, a fund unit? Ask for the document that defines it. If nobody can show you one, stop there.
  2. Regulatory position. Which supervisor, which jurisdiction, which exemption. In the EU, a platform claiming to be "MiCA-compliant" for a security token is telling you it may not understand its own product.
  3. Custody. Who holds the keys, and what happens to your claim if the platform ceases to operate.
  4. Secondary market. Whether one exists, how transfers execute, and what real trading volume looks like.
  5. Track record. Projects completed, realized returns on closed projects rather than projections, and how the platform handled projects that underperformed.
  6. Fees. Issuance, management and exit fees, stated as a percentage of what.
  7. Reporting. Frequency and detail of what you receive on occupancy, costs and valuation.
